These Website Terms of Use (the "Terms") constitute an agreement between Car-sharing Avigo Autopartage Inc., doing business as avigo ("avigo", "we", "our" or "us"), and any person who accesses or uses the Site ("you", "your" or "user"). avigo is a name used in the operation of the business; no mention herein shall be interpreted as a statement that this name constitutes a registered trademark.
Please read these Terms carefully. By accessing or using the Site, you acknowledge that you have read them and agree to be bound by them. If you do not agree, you must stop using the Site.
1. Purpose and Scope
These Terms govern access to the site avigomobility.com, its subdomains, and the pages, forms, content, and web features operated by avigo (collectively, the "Site").
The Site notably presents avigo, its car-sharing and mobility solutions, its services for individuals, businesses, developers, property managers, dealers, and other partners, and may allow for submitting requests, communicating with avigo, or accessing certain online services.
The use of a mobile application, rental portal, vehicle, car-sharing service, or any other avigo service may be governed by additional terms, contracts, policies, rates, or rules. In case of incompatibility, the terms specific to the relevant service prevail for that service.
2. Capacity and eligibility
You must have the legal capacity required to accept these Terms. If you use the Site on behalf of a corporation or organization, you represent that you are authorized to bind it.
Simply accessing the Site does not guarantee your eligibility for avigo services. The criteria applicable to accounts, drivers, bookings, insurance, participating properties, or vehicles are specified in the documents specific to those services.
3. Acceptance and electronic proof
Your access to the Site, the use of a feature, or the selection of an acceptance checkbox may constitute your consent to these Terms, subject to the mandatory requirements of the law.
The electronic records maintained by avigo, including technical logs, confirmations, timestamps, document versions, and communications, may be used to establish the transactions made, subject to any contrary evidence and applicable rules.
4. Modification of the Terms
avigo may modify these Terms to reflect changes in the Site, its practices, its services, or the legal framework. The update date is indicated at the beginning of the document.
Where required by law, avigo will provide the required notice and obtain the necessary consent. Changes will not retroactively affect acquired rights or the mandatory protections applicable to consumers.
5. Access and availability of the Site
avigo may modify, suspend, withdraw, or interrupt all or part of the Site for maintenance, security, compliance, updates, operation, or force majeure reasons.
avigo strives to ensure reasonable operation of the Site, but does not guarantee continuous access, free from errors, interruptions, network failures, vulnerabilities, or incompatibilities with all devices and browsers.
You are responsible for your Internet connection, your device, your software, their updates, and the associated costs.
6. Accounts and Portals
Some features may require the creation of an account or access to a separate portal. You must provide accurate, complete, and up-to-date information.
Your credentials are personal and confidential. You must take reasonable measures to prevent their unauthorized use and inform avigo promptly of any loss, compromise, or suspicious activity.
You are responsible for activities conducted through your account to the extent permitted by law, unless they result from avigo's fault or an event that is not attributable to you.
avigo may impose security controls, request verification, and suspend access when there are reasonable grounds to believe in fraud, a security breach, illegal use, or a violation of applicable terms.
7. Authorized Use
You may use the Site only for lawful, personal, or legitimate professional purposes, in accordance with these Terms, the posted instructions, and applicable laws.
Any authorization granted is limited, revocable, non-exclusive, non-transferable, and does not confer any ownership rights over the Site or its content.
8. Prohibited Uses
It is particularly prohibited to:
use the Site in a fraudulent, deceptive, illegal, abusive manner or infringing on the rights of others;
impersonate another person, provide false information or use without authorization the account, identity or contact details of a third party;
attempt to gain unauthorized access to the Site, accounts, systems, servers, programming interfaces or data;
introduce a virus, malware, harmful code or mechanism that may disrupt, damage or overload the Site;
bypass a security measure, access limitation, authentication mechanism or consent system;
engage in harvesting, scraping, automated extraction, systematic copying or unauthorized indexing, except by public search engines in accordance with avigo's technical guidelines;
engage in reverse engineering, decompile, disassemble or attempt to discover the source code, except to the extent expressly permitted by mandatory law;
use the Site to transmit illegal, defamatory, threatening, discriminatory, obscene, infringing or privacy-violating content;
disrupt the use of the Site by others or the activities of avigo, its suppliers or its partners;
use the contact details published on the Site for spam, automated solicitation or communications contrary to anti-spam legislation.
9. Information and content transmitted by the user
When you submit a form, a document, an image, a comment, or any other content, you declare that you have the right to submit it and that it is, to your knowledge, accurate and lawful.
You grant avigo a limited authorization to use this content only to the extent necessary to process your request, provide the services, ensure security, comply with the law, and exercise its rights.
You must not submit personal, confidential, or sensitive information that is not necessary for the request or that you are not authorized to disclose.
10. Intellectual Property
The Site and its elements, including texts, photographs, videos, graphics, interfaces, layouts, databases, software, codes, documents, icons, and creations, are protected by applicable copyright, trademark, and other intellectual property laws.
Unless written permission is granted by avigo or an exception is provided by law, you may not copy, reproduce, distribute, publish, modify, adapt, translate, sell, license, create derivative works, or commercially exploit any element of the Site.
The name avigo, logos, slogans, visual identities, and other distinctive signs used on the Site may be protected under applicable rights, whether registered or not. No license for use is granted implicitly.
11. Accuracy of Information
avigo seeks to present useful and up-to-date information. However, the general content of the Site is provided for informational purposes and may contain errors, omissions, or outdated information.
The features, availability, service areas, vehicles, prices, promotions, deadlines, partners, and terms may change. Only the information confirmed in an offer, a contract, a reservation, or a specific document binds avigo.
The Site does not constitute legal, tax, financial, insurance, engineering, or other professional advice.
12. Requests, submissions, and business relationships
Sending a form, a request for information, a request for a demonstration, or a request for a quote does not automatically create a contract or an obligation for avigo to provide a service.
Any proposal, submission, or agreement remains subject to applicable verifications, approvals, and contractual documents.
Pre-contractual exchanges remain subject to the obligation of good faith and applicable laws.
13. Transactions and contracts concluded remotely
If the Site eventually allows for a contract to be concluded remotely with a consumer, avigo will provide, before the conclusion, the information required by the Consumer Protection Act, including its identity and contact details, a description of the good or service, the price, applicable fees, payment terms, the date or timeframe for execution, and the applicable conditions for cancellation, resolution, return, exchange, or refund.
avigo will give the consumer the express option to accept or refuse the proposal and will provide a copy of the contract in a manner that allows them to keep and print it, when required.
No provision herein limits a right of resolution, chargeback, refund, or any other mandatory protection granted by the Consumer Protection Act.
14. Prices, taxes, and payments
The prices displayed, if applicable, are in Canadian dollars unless otherwise stated. Applicable taxes and fees are indicated or calculated in accordance with legal requirements and the terms of the relevant service.
Payments may be processed by third-party providers. avigo does not necessarily receive all payment card data. The use of these services may be subject to the terms and policies of the relevant provider.
In the event of a discrepancy between general information on the Site and the amount confirmed at the time of a transaction, the confirmed amount prevails, subject to rights provided by law and the correction of a manifest error.
15. Electronic communications
avigo may send you operational or transactional communications related to a request, account, booking, payment, security, or legal obligation.
Commercial electronic messages are sent in accordance with applicable Canadian legislation, including regarding consent, sender identification, and unsubscribe mechanisms. You may withdraw your consent to marketing communications using the mechanism indicated in the message, without affecting communications necessary for a contractual relationship or required by law.
16. Links and third-party services
The Site may contain links, integrations, maps, tools, content, or services operated by third parties. They are provided to facilitate access to certain resources and do not necessarily constitute an endorsement.
avigo does not control third-party services and is not responsible for their availability, security, content, or practices, except to the extent that liability cannot be excluded by law.
You must consult the terms and policies of the relevant third parties before using them.
17. Protection of Personal Information
avigo processes personal information in accordance with its Privacy Policy and applicable laws, including the Act on the Protection of Personal Information in the Private Sector of Quebec.
The Privacy Policy describes, among other things, the categories of information collected, the purposes of use, communications to third parties, retention, protection measures, and the rights of the individuals concerned.
In the event of a contradiction regarding the processing of personal information, the Privacy Policy prevails, subject to applicable laws.
18. Cookies and Similar Technologies
The Site may use cookies, pixels, logs, beacons, and similar technologies to ensure its operation, security, preference memorization, audience measurement, and, with the required consent, analysis or advertising.
The details are presented in the Cookie Policy and in the consent management tool accessible on the Site. Refusing certain non-essential cookies should not prevent access to strictly necessary features, but may limit certain functions.
19. Security
avigo applies reasonable security measures appropriate to the nature of its activities and the information processed. No system is, however, completely risk-free.
You must not attempt to bypass security controls, test the vulnerability of the Site without authorization, intercept data, introduce malicious code, or disrupt systems.
Any presumed vulnerability must be reported responsibly to contact@avigomobility.com, without exploitation, premature public disclosure, or access to unnecessary data.
20. Suspension and Termination
avigo may suspend or withdraw access to all or part of the Site when a measure is reasonably necessary to protect security, prevent fraud, comply with the law, enforce these Terms, or protect avigo, its users, or its partners.
When circumstances allow, avigo will favor a proportionate measure and may give the user the opportunity to correct the situation.
The clauses that, by their nature, must survive the end of access remain applicable, including those related to intellectual property, payments due, liability, confidentiality, applicable law, and dispute resolution.
21. Warranty Exclusions
Subject to the warranties and rights that cannot be excluded or limited by law, the Site and its general content are provided "as is" and "as available".
avigo makes no warranty that the Site will meet all your needs, will be continuously accessible, or free from any errors, interruptions, vulnerabilities, data loss, or harmful elements.
This clause does not limit the legal warranties applicable to a good or service purchased by a consumer nor the statements expressly incorporated into a specific contract.
22. Limitation of liability
To the fullest extent permitted by law, avigo is not liable for indirect, incidental, special, exemplary, or consequential damages arising solely from the use or unavailability of the Site, including loss of opportunity, revenue, data, or use.
Any limitation applies only to the extent permitted by law. It does not aim to exclude or limit liability for intentional or gross fault, bodily or moral harm where prohibited by law, a violation of a public order obligation, nor any remedy that a consumer cannot waive.
Responsibilities related to a vehicle, a reservation, insurance, payment, or a car-sharing service are governed by the applicable specific contract.
23. User liability and indemnification
You are responsible for the reasonably foreseeable consequences of your unlawful use of the Site, your breach of these Terms, or the infringement of a third party's rights.
To the extent permitted by law and, for a consumer, only when it does not create an abusive obligation or contravene a public order rule, you agree to indemnify avigo for claims, losses, and reasonable expenses directly arising from your wrongful or unlawful conduct.
avigo will notify you of a targeted claim and allow you to reasonably participate in its defense, without any settlement imposing an obligation on you being concluded without your consent, which shall not be unreasonably withheld.
24. Force majeure
avigo is not responsible for a delay or non-performance attributable to an event beyond its reasonable control, including a major breakdown, natural disaster, fire, flood, labor conflict, widespread cyber incident, telecommunications interruption, government measure, emergency, war, or epidemic.
This clause does not release avigo from obligations that must nonetheless be performed under a public order law, including due refunds.
25. Applicable law and courts
These Terms are governed by the laws of the province of Quebec and the applicable federal laws of Canada.
Subject to applicable mandatory rules, including those protecting consumers, any dispute will be submitted to the competent courts of the judicial district where the head office or establishment of the relevant avigo is located.
No provision deprives a consumer of the right to bring the matter before the competent court according to applicable mandatory rules, including at their domicile when the law provides for it.
26. Language
The French version of these Terms is made available to users and constitutes the reference version, unless otherwise required by law or express agreement in accordance with applicable rules.
A translation may be provided for convenience. In case of discrepancies, the French version prevails to the extent permitted by law.
27. General Provisions
Entirety. These Terms, along with the policies and documents expressly incorporated herein, constitute the applicable agreement for the use of the Site.
Severability. If any provision is declared invalid or unenforceable, it will be interpreted or reduced to the minimum extent necessary, and the other provisions will remain in effect.
No Waiver. The failure to exercise a right does not constitute a waiver of that right.
Assignment. You may not assign your rights or obligations without the written consent of avigo. avigo may assign these Terms in the context of a reorganization, business sale, merger, or transfer of activities, subject to applicable laws and without diminishing the mandatory rights of users.
Headings. The headings are for convenience only and do not affect the interpretation.
